Antipoda Co offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

Terms of Service

SECTION 1 - ONLINE STORE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms or viruses or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of your Services.

We reserve the right to refuse service to anyone for any reason at any time.

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected. 

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION 

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

In no case shall Antipoda Co, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend and hold harmless Antipoda Co and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 15 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 16 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 17 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Australia.

Wholesale Terms and Conditions

  1. Terms of Contract
    • Please read these terms and conditions before placing an order. Antipoda Co withholds the rights to change these Terms & Conditions without prior notice.
    • In this document, “wholesaler” refers to customers who have registered and have an approved wholesale account with Antipoda Co. “Customers” refers to the end-customer of the wholesaler.
    • The Antipoda Co wholesale prices are only available to approved retailers. When registering for an Antipoda Co wholesale account, please provide all required information within the application form. An account will not be approved unless all information is provided. Antipoda Co reserves the right to cancel any account that was approved in error. For any misuse of accounts, Antipoda Co is entitled at any time for reasons of its own to suspend the use of an account. Any account opened for purchasing items for personal use will be cancelled immediately.
    • Once an application has been lodged and the wholesaler has provided the relevant information needed, Antipoda Co will decide whether or not to approve an account within 48 hours.
    • These Terms and Conditions apply to all items supplied by Antipoda Co within the context of the Antipoda Co wholesale pricing. All items advertised with wholesale prices on the Antipoda Co website are considered on offer to the wholesaler to purchase the items. No contract exists between Antipoda Co and the wholeasler until Antipoda Co has received and accepted the order. When orders are placed the wholesaler will receive an email confirming this. This notification is not a confirmation that the order has been accepted by Antipoda Co but only a confirmation that an order has been placed.
    • Antipoda Co reserves the right to cancel the contract of sale if the payment for orders is not received in full before the actual shipping date.
  1. Description and Price of Goods
    • Antipoda Co has taken care to describe and take images as accurately as possible in accordance to the manufacturer’s specification. Despite this, variations amongst items may occur. If there is anything the wholesaler does not understand about the information provided about the product, please email Antipoda Co at hello@antipoda.co.
    • All prices shown on the pricelist are in Australian Dollars, excluding GST.
    • Every effort is made to ensure the prices shown on the website are accurate at the time of placing an order. If an item has been under priced in error, Antipoda Co will contact the wholesaler and offer the following three options:
      • Placement of a new order at the correct price of the items;
      • Cancellation of the whole order;
      • Cancellation of the order for the mispriced items and reconfirmation of the order for the correctly priced items.

If the wholesaler does not respond within 48 hours, the order will be automatically cancelled. Any payment received from the wholesaler will be credited back to the wholesaler.

  • If, within 2 working days of accepting the order, Antipoda Co discovers that some of the items are unavailable, Antipoda Co will email the wholesaler to request if the wholesaler would like an alternative item or refund. If a refund is chosen, it will be processed within 7 working days.
  • Antipoda Co cannot be held accountable for any potential loss of earnings through wholesalers continuing to advertise out of stock and discontinued items.
  • The minimum spend for wholesalers is $1,000 AUD. Please note, minimum spend amounts do not include postage.
  • Wholesalers may not sell products below the recommended retail price (RRP) set by Antipoda Co, without prior approval. The wholesaler is allowed to set their own prices on items through the medium in which the wholesaler sells, without selling below the recommended retail price.
  • Under no circumstances are products to be resold via a third party website or location. Failure to comply will result in immediate cancellation of account.
  • Antipoda Co reserves the right to change the prices of items on the website at any time. It is the responsibility of the wholesalers to monitor the Antipoda Co website and update prices accordingly.
  1. Pre-Sales
    • Pre-sales are at wholesaler’s risk. We do not take responsibility for pre-sales.
    • Pre-Sale orders for items will only be accepted if Antipoda Co is due to receive new stock of the item. Due to the large scale of operations involved in the continuity of stock supply, Antipoda Co cannot guarantee all items will be available to order constantly. It is the responsibility of the wholesaler to monitor the Antipoda Co product availability, which is available on the Antipoda Co website.
    • If a wholesaler orders a product from Antipoda Co that they have pre-sold, and when the product arrives at Antipoda Co it has a defect or size issue, we will be unable to send out that product to the wholesaler. The amount paid to Antipoda Co will be refunded.
    • Wholesalers that do pre-sales to customers on their website must have ordered that product from Antipoda Co and paid a 50% deposit on the invoice prior to offering it for pre-sale.
  1. Placing an order
    • Approved wholesalers can place orders via the Antipoda Co website.
    • Upon completion of the online checkout you will automatically receive an email confirming that your order has been received.
    • All orders must be paid for in full prior to processing and shipping.
    • Once payment is received, allow 2-4 working days for orders to be processed and dispatched.
    • If you require the stock immediately please email us at accounts@antipoda.co and we will endeavor to accommodate a quicker turn around.
    • Once your order has been dispatched, you will be issued with a tracking number allowing you to follow the delivery progress.
  2. Back Orders
    • In the event that a product is out of stock or we don’t have the quantity you have ordered available and we are unable to fulfil your whole order, we will notify you.
    • You can choose to:
  1. Proceed to ship all available items from your order and once the other items are back in stock, we will ship them out immediately. All shipping costs will need to be covered by wholesaler.
  2. Complete the full shipment when all products are back in stock
  1. Payment
    • Payments for orders can be made via Credit Cards and by bank transfer. Some additional fees may apply due to payment method used. It is required that orders are paid in full before Antipoda Co dispatches them. If payment for the order fails, the order will be cancelled within 3 working days unless the wholesaler contacts Antipoda Co to specify otherwise.
    • Invoice payment is expected within 7 days. There will be a 1.5% interest charge per month on late invoices. Outstanding payments after 60 days will be sent to the debt collectors. All expenses involved are the responsibility of the retailer.
    • 50% deposit is required for orders not in stock. The remaining 50% will be invoiced when the stock arrives.
  1. Coupon Codes
    • Our retail customer coupon codes for discounts cannot be used on wholesale orders. As we have one system, the coupon code may work but is invalid. You will either be asked to pay wholesale prices or be issued a refund. We have the right to cancel your order at our discretion.
  1. Order Cancellations/Changes
    • Changes can be made on the same day before 12 noon by contacting us via email at accounts@antipoda.co. However, if an order has been dispatched, cancellation will not be allowed.
  1. Fees
    • For all wholesale orders, the costs the wholesaler pays are the item price as listed, the freight cost, GST, and any fees charged due to the payment method used. All other processing and handling costs are built into the item prices.
  1. Shipping
    • Shipping cost are to be paid by wholesaler.
    • Shipping costs depend on your location, weight and the dimensions of the packages.
    • We use Australia Post or a courier service to deliver orders. Depending on the size of the order.
    • Standard domestic delivery typically takes 2-6 business days, while express items will takes 1-3 business days. Delivery times may vary depending on your destination.
    • International delivery times vary but are usually between 4 and 14 business days.
    • Please allow for extra delivery time during peak times like Christmas and Easter.
    • Any taxes, customs or duty fees incurred on international parcels are the responsibility of the buyer.
    • Items will normally be processed and shipped out within 2 working days. Processing of orders will begin after receiving full payment, unless a specific agreement has been set up.
    • Shipment tracking number and notification will be sent to the wholesaler once items are dispatched.
    • Antipoda Co cannot be held responsible for any delays in delivery caused by freight companies or intermediaries used.
    • The customer is responsible for the order once the package arrives at the supplied delivery address. Antipoda Co cannot be held responsible if the package goes missing once delivered.
    • Antipoda Co cannot be held responsible for items that do not arrive to the customer due to errors made when entering the address details. The wholesaler needs to ensure to check all order details before confirming an order. Also note that the address must be accessible to courier drivers and if no shipping instructions are left, the wholesaler needs to ensure that there is someone to receive the package.
    • If your order is returned to sender we will contact you. Antipoda Co will refund the wholesaler the item costs excluding the shipping charges incurred, and minus any additional charges incurred from the freight company for returning the item. If you would like us to resend your order, you will be charged postage a second time.
    • Deliveries made to business addresses or at a place of work are considered received once they arrive at the address. It is the customer’s responsibility to ensure the item is safely received.
    • Please notify us if you would like to organise your own courier or local pickup.
  1. Returns Procedure
    • Our standard returns and exchanges policy applies.
    • If a refund is due, it will be credited back to the wholesaler’s account within 7 days after Antipoda Co receives the refunded item(s) and confirms the items and packaging are in good condition and not damaged. The wholesaler is responsible for correct packaging of the items.
    • If any items are received damaged, Antipoda Co must then be notified within 72 hours after the expected delivery time.
    • If any items are received faulty the wholesaler must notify Antipoda Co within 14 days of receiving them.
  1. Limitation of Liability and Guarantee Policy
    • Antipoda Co will not be liable to wholesalers for any loss or damage in circumstances where:
    • There is no breach of a legal duty owed to the wholesaler by Antipoda Co or by its employees or agents;
    • Such loss or damage is not a reasonably foreseeable result of any such breach;
    • Any increase in loss or damage resulting from breach by wholesaler of any item of this contract.
    • Fraudulent activities are highly monitored on our site and if fraud is detected Antipoda Co shall resort all remedies available to us, and you shall be responsible for all costs and legal fees arising from these fraudulent activities.
  1. Account
    • Antipoda Co reserves the right to suspend an account and block out payment to wholesalers in the following cases:
    • If the wholesaler violates these terms & conditions in any way;
    • If the wholesaler is under suspicion of fraud, including but not limited to: selling non-genuine products, intentional failure to deliver, order diverting, etc.
    • Antipoda Co reserves the right to terminate an account if the account is used to engage in illegal activity.
  1. Marketing Material
    • All Antipoda Co images are freely available for use on the wholesaler’s website. Once the wholesaler applies for an account and is accepted the wholesaler will be directed to the appropriate URL links for the images of each product.
  1. General
    • All items are subject to stock availability at the time of ordering. If the wholesaler can’t find a particular item on the Antipoda Co website, it has gone out of stock or the item has been discontinued. If the wholesaler has any further queries on the stock availability, feel free to email Antipoda Co at hello@antipoda.co. While every effort will be made to ensure that all items shown are in stock Antipoda Co offers no guarantee of availability of the items.
  1. Quality of Service
    • We have the right to refuse a wholesaler or cancel a wholesaler order if a wholesaler is misleading in any way or form. We may do this at any time if our brand is being represented in the wrong way.
    • The wholesaler is required to offer a level of service to his customers similar or higher than Antipoda Co offers to its own customers. In the event damage has been done to the reputation of Antipoda Co because the wholesaler fail to offer the required quality of service, Antipoda Co reserves the right of rectifying the damage by compensating the customer. The cost associated with this compensation will be charged to the wholesaler.
  1. By Law
    • Our agreement and these terms and conditions will be construed and governed according the laws of Victoria, Australia.
  1. Acceptance of Terms
    • The placement of any order to be supplied by Antipoda Co will be considered as confirmation of acceptance of these terms and conditions

These Terms, in conjunction with any other policies posted by Antipoda Co on the website, constitute the entire agreement between the wholesaler and Antipoda Co and govern the wholesaler’s access to our services and use of the website. These Terms supersede any prior or contemporaneous agreements or any other communications, oral or written, between the wholesaler and Antipoda Co.

 

Dropshipping Terms and Conditions

  1. Terms of Contract
    • Please read these terms and conditions before placing an order. Antipoda Co withholds the rights to change these Terms & Conditions without prior notice.
    • In this document, “drop shipper” refers to customers who have registered and have an approved Dropshipping account with Antipoda Co Dropshipping services. “Customers” refers to the end-customer of the drop shipper.
    • The Antipoda Co Dropshipping services are only available to approved retailers. When registering for an Antipoda Co Dropshipping account, please provide all required information within the application form. An account will not be approved unless all information is provided. Antipoda Co reserves the right to cancel any account that was approved in error. For any misuse of accounts, Antipoda Co is entitled at any time for reasons of its own to suspend the use of an account. Any account opened for purchasing items for personal use will be cancelled immediately.
    • Once an application has been lodged and the drop shipper has provided the relevant information needed, Antipoda Co will decide whether or not to approve an account within 48 hours.
    • These Terms and Conditions apply to all items supplied by Antipoda Co within the context of the Antipoda Co Dropshipping service. All items advertised with drop shipping prices on the Antipoda Co website are considered on offer to the drop shipper to purchase the items using Antipoda Co Dropshipping service. No contract exists between Antipoda Co and the drop shipper until Antipoda Co has received and accepted the order. When orders are placed the drop shipper will receive an email confirming this. This notification is not a confirmation that the order has been accepted by Antipoda Co but only a confirmation that an order has been placed.
    • Antipoda Co reserves the right to cancel the contract of sale if the payment for orders is not received in full before the actual shipping date.
  1. Description and Price of Goods
    • Antipoda Co has taken care to describe and take images as accurately as possible in accordance to the manufacturer’s specification. Despite this, variations amongst items may occur. If there is anything the drop shipper does not understand about the information provided about the product, please email Antipoda Co at hello@antipoda.co.
    • All prices shown on the pricelist are in Australian Dollars, excluding GST.
    • Every effort is made to ensure the prices shown on the website are accurate at the time of placing an order. If an item has been under priced in error, Antipoda Co will contact the drop shipper and offer the following three options:
      • Placement of a new order at the correct price of the items;
      • Cancellation of the whole order;
      • Cancellation of the order for the mispriced items and reconfirmation of the order for the correctly priced items.

If the drop shipper does not respond within 48 hours, the order will be automatically cancelled. Any payment received from the drop shipper will be credited back to the drop shipper.

  • If, within 2 working days of accepting the order, Antipoda Co discovers that some of the items are unavailable, Antipoda Co will email the drop shipper to request if the drop shipper would like an alternative item or refund. If a refund is chosen, it will be processed within 7 working days.
  • Antipoda Co Dropshipping services cannot be held accountable for any potential loss of earnings through drop shippers continuing to advertise out of stock and discontinued items.
  • There is no minimum order requirement for individual drop-shipped order.
  • Drop shippers may not sell products below the recommended retail price (RRP) set by Antipoda Co, without prior approval. The drop shipper is allowed to set their own prices on items through the medium in which the drop shipper sells, without selling below the recommended retail price.
  • Under no circumstances are products to be resold via a third party website or location. Failure to comply will result in immediate cancellation of account.
  • Antipoda Co reserves the right to change the prices of items on the website at any time. It is the responsibility of the drop shipper to monitor the Antipoda Co website and update prices accordingly.
  1. Pre-Sales
    • Pre-sales are at wholesaler’s risk. We do not take responsibility for pre-sales.
    • Pre-Sale orders for items will only be accepted if Antipoda Co is due to receive new stock of the item. Due to the large scale of operations involved in the continuity of stock supply, Antipoda Co cannot guarantee all items will be available to order constantly. It is the responsibility of the drop shipper to monitor the Antipoda Co product availability, which is available on the Antipoda Co website.
    • If a drop shipper orders a product from Antipoda Co that they have pre-sold, and when the product arrives at Antipoda Co it has a defect or size issue, we will be unable to send out that product to the drop shipper. The amount paid to Antipoda Co will be refunded.
  1. Placing an order
    • Approved drop shippers can place orders via the Antipoda Co website.
    • Upon completion of the online checkout you will automatically receive an email confirming that your order has been received.
    • All orders must be paid for in full prior to processing and shipping.
    • Once payment is received, allow 2-4 working days for orders to be processed and dispatched.
    • If you require the stock immediately please email us at accounts@antipoda.co and we will endeavor to accommodate a quicker turn around.
    • Once your order has been dispatched, you will be issued with a tracking number allowing you to follow the delivery progress.
  2. Payment
    • Payments for orders can be made via Credit Cards and by bank transfer. Some additional fees may apply due to payment method used. It is required that orders are paid in full before Antipoda Co dispatches them. If payment for the order fails, the order will be cancelled within 3 working days unless the drop shipper contacts Antipoda Co to specify otherwise.
  1. Coupon Codes
    • Our retail customer coupon codes for discounts cannot be used on drop shipping orders. As we have one system, the coupon code may work but is invalid. You will either be asked to pay drop shipping prices or be issued a refund. We have the right to cancel your order at our discretion.
  1. Order Cancellations/Changes
    • Changes can be made on the same day before 12 noon by contacting us via email at accounts@antipoda.co. However, if an order has been dispatched, cancellation will not be allowed.
  1. Fees
    • For all drop shipping orders, the costs the drop shipper pays are the item price as listed, the freight cost, GST, and any fees charged due to the payment method used. All other processing and handling costs are built into the item prices.
  1. Shipping
    • Shipping cost are to be paid by drop shipper.
    • Shipping costs depend on your location, weight and the dimensions of the packages.
    • We use Australia Post or a courier service to deliver orders. Depending on the size of the order.
    • Standard domestic delivery typically takes 2-6 business days, while express items will takes 1-3 business days. Delivery times may vary depending on your destination.
    • International delivery times vary but are usually between 4 and 14 business days.
    • Please allow for extra delivery time during peak times like Christmas and Easter.
    • Any taxes, customs or duty fees incurred on international parcels are the responsibility of the buyer.
    • Items will normally be processed and shipped out within 2 working days. Processing of orders will begin after receiving full payment, unless a specific agreement has been set up.
    • Shipment tracking number and notification will be sent to the drop shipper once items are dispatched.
    • Antipoda Co cannot be held responsible for any delays in delivery caused by freight companies or intermediaries used.
    • The customer is responsible for the order once the package arrives at the supplied delivery address. Antipoda Co cannot be held responsible if the package goes missing once delivered.
    • Antipoda Co cannot be held responsible for items that do not arrive to the customer due to errors made by the customer or by the drop shipper when entering the address details. The drop shipper needs to ensure to check all order details before confirming an order. Also note that the address must be accessible to courier drivers and if no shipping instructions are left, the drop shipper needs to ensure that there is someone to receive the package. Antipoda Co advises drop shippers to use their own terms and conditions to ensure the customer is able to receive packages.
    • If your order is returned to sender we will contact you. Antipoda Co will refund the drop shipper the item costs excluding the shipping charges incurred, and minus any additional charges incurred from the freight company for returning the item. If you would like us to resend your order, you will be charged postage a second time.
    • Deliveries made to business addresses or at a place of work are considered received once they arrive at the address. It is the customer’s responsibility to ensure the item is safely received.
  1. Returns Procedure
    • Our standard returns and exchanges policy applies.
    • If a refund is due, it will be credited back to the drop shipper’s account within 7 days after Antipoda Co receives the refunded item(s) and confirms the items and packaging are in good condition and not damaged. The drop shipper is responsible for correct packaging of the items and/or any legal issue which may arise between the drop shipper and the customer as a result of damaged or incorrect items received.
    • If any items are received damaged, the customer must notify the drop shipper within 48 hours of receiving them. Antipoda Co must then be notified within 72 hours after the expected delivery time.
    • If any items are received faulty the drop shipper must notify Antipoda Co within 14 days of receiving them.
  1. Limitation of Liability and Guarantee Policy
    • Antipoda Co will not be liable to drop shipper for any loss or damage in circumstances where:
    • There is no breach of a legal duty owed to the drop shipper by Antipoda Co or by its employees or agents;
    • Such loss or damage is not a reasonably foreseeable result of any such breach;
    • Any increase in loss or damage resulting from breach by drop shipper of any item of this contract.
    • In the event of items shipped to an address other than the drop shipper, there is no contract between the receiver of these goods (the customer) and Antipoda Co. In this case Antipoda Co cannot mediate any aspect of the sale between the drop shipper and the customer of the items shipped.
    • It is the drop shipper’s responsibility to make sure that any legal issue which may arise between the drop shipper and the customer is applicable to an own set of terms & conditions used by the drop shipper when selling items using the Antipoda Co drop shipping service. Antipoda Co will not accept any responsibility for legal issues which may arise as a result of the absence of any terms & conditions or any other legal document required by law or otherwise between drop shipper and customer.
    • Fraudulent activities are highly monitored on our site and if fraud is detected Antipoda Co shall resort all remedies available to us, and you shall be responsible for all costs and legal fees arising from these fraudulent activities.
  1. Account
    • Antipoda Co reserves the right to suspend an account and block out payment to drop shipper in the following cases:
    • If the drop shipper violates these terms & conditions in any way;
    • If the drop shipper is under suspicion of fraud, including but not limited to: selling non-genuine products, intentional failure to deliver, order diverting, etc.
    • Antipoda Co reserves the right to terminate an account and to prevent the use of the drop shipping services if the account is used to engage in illegal activity.
  1. Marketing Material
    • All Antipoda Co images are freely available for use on the drop shipper’s website. Once the drop shipper applies for an account and is accepted the drop shipper will be directed to the appropriate URL links for the images of each product.
  1. General
    • All items are subject to stock availability at the time of ordering. If the drop shipper can’t find a particular item on the Antipoda Co website, it has gone out of stock or the item has been discontinued. If the drop shipper has any further queries on the stock availability, feel free to email Antipoda Co at hello@antipoda.co. While every effort will be made to ensure that all items shown are in stock Antipoda Co offers no guarantee of availability of the items.
  1. Quality of Service
    • We have the right to refuse a drop shipper or cancel a drop shipper order if a drop shipper is misleading in any way or form. We may do this at any time if our brand is being represented in the wrong way.
    • The drop shipper is required to offer a level of service to his customers similar or higher than Antipoda Co offers to its own customers. In the event damage has been done to the reputation of Antipoda Co because the drop shippers fail to offer the required quality of service, Antipoda Co reserves the right of rectifying the damage by compensating the customer. The cost associated with this compensation will be charged to the drop shipper.
  1. By Law
    • Our agreement and these terms and conditions will be construed and governed according the laws of Victoria, Australia.
  1. Acceptance of Terms
    • The placement of any order to be supplied by Antipoda Co will be considered as confirmation of acceptance of these terms and conditions

These Terms, in conjunction with any other policies posted by Antipoda Co on the website, constitute the entire agreement between the drop shipper and Antipoda Co and govern the dropshipper’s access to our services and use of the website. These Terms supersede any prior or contemporaneous agreements or any other communications, oral or written, between the drop shipper and Antipoda Co.
